AGC Europe is looking for a diligent and highly organized Paralegal to join its Legal Department. Working closely with a Senior Legal Counsel, you will independently manage robust corporate governance, legal compliance, and administrative support across European operations, with a particular focus on corporate housekeeping. This role requires proven, hands-on expertise in corporate housekeeping, as the successful candidate will be expected to operate with a high degree of autonomy from the outset.

Key Responsibilities

A. Corporate Housekeeping & Governance Support

•    Independently manage and execute corporate filings for Belgian entities, including registrations of General Assemblies, Board resolutions, and Articles of Association with the Moniteur belge and BCE.

•    Coordinate document execution, compile filing packages, liaise with stakeholders, and ensure timely submission and follow-up on registrations.

•    Proactively maintain and update annual delegations of authority in close collaboration with HR and business units, ensuring records are finalized ahead of Board meetings.

•    Expertly draft corporate documentation—minutes, resolutions, proxies, and other statutory filings—in French, Dutch, and English.

•    Support the legal team in corporate transactions – acquisitions, divestitures, JVs, and reorganizations.

•    Coordinate with notarial offices on extraordinary transactions, ensuring accuracy and completeness of all supporting documentation.

•    Manage ongoing corporate housekeeping: archive historical corporate documents and maintain accuracy of corporate structure files.

B. Corporate Compliance Audits

•    Execute annual compliance reviews of corporate governance records across non-Belgian subsidiaries.

•    Collect signed meeting documents, upload to company database and update the central compliance tracker.

•    Prepare compliance summaries, identify gaps, and report actionable items.

C. Real Estate Portfolio Administration

•    Maintain a centralized database of legal and site documentation for real estate properties.

•    Provide administrative and legal support for real estate operations, including sales, expropriations, and rights management.

Candidate Profile

•   A minimum of three years of dedicated experience as a corporate paralegal or company secretary is required; this experience must include in-depth, hands-on management of corporate housekeeping.  

•    Well-organized, meticulous, and deadline-driven.

•    Strong autonomy, coupled with trusted discretion and integrity.

•    Fluency in English and French; professional working proficiency in Dutch; additional European languages would be an asset.

•    Excellent communication, coordination, and teamwork skills.
